The Corporations Division of the Secretary of the Commonwealth’s office is the central repository for business filings in Massachusetts. Located in the McCormack Building at One Ashburton Place, this office acts as the filing office for corporations, limited liability companies (LLCs), limited partnerships, and certain other business entities organized or doing business in the state. It plays a vital role in the state’s economy by facilitating business formation and ensuring public access to corporate records.
Key Filing Services
- Business Formation: Processes Articles of Organization for new corporations and LLCs.
- Annual Reports: Accepts mandatory annual report filings to maintain business good standing.
- Certificates: Issues Certificates of Good Standing and Legal Existence often required for loans or business transactions.
- UCC Filings: Manages Uniform Commercial Code filings which record security interests in personal property.
Service Options
While the physical office provides counter service for immediate processing, the Division strongly encourages the use of their online filing system, which is available for most standard transactions. Visitors to the office must pass through building security. Payment at the counter can be made via check, money order, or cash (exact change is often preferred/required).
